The offer, which will be paid in cash, proposes \u20ac20.30 per share, representing a 63.4% premium to last Friday&#8217;s closing share price.<\/p>\n\n\n\n<p>This purchase marks an important step for Prosus, which has had an interest in Just Eat since before the pandemic. In 2019, Naspers, Prosus&#8217; main shareholder and owner of 25% of Delivery Hero (Glovo&#8217;s parent company), tried to acquire Just Eat with a \u00a35.5bn (around \u20ac6.64bn) bid, but it was ultimately Takeaway.com that took control of the British company in 2020.<\/p>\n\n\n<div class=\"wp-block-image\">\n<figure class=\"aligncenter size-large\"><img decoding=\"async\" width=\"1024\" height=\"906\" src=\"https:\/\/www.tapasmagazine.es\/wp-content\/uploads\/2025\/02\/falafel_salad_home_dss_desktop_es.d1ac6c1a-1024x906.png\" alt=\"\" class=\"wp-image-281737\" srcset=\"https:\/\/www.tapasmagazine.es\/wp-content\/uploads\/2025\/02\/falafel_salad_home_dss_desktop_es.d1ac6c1a-1024x906.png 1024w, https:\/\/www.tapasmagazine.es\/wp-content\/uploads\/2025\/02\/falafel_salad_home_dss_desktop_es.d1ac6c1a-300x265.png 300w, https:\/\/www.tapasmagazine.es\/wp-content\/uploads\/2025\/02\/falafel_salad_home_dss_desktop_es.d1ac6c1a-768x679.png 768w, https:\/\/www.tapasmagazine.es\/wp-content\/uploads\/2025\/02\/falafel_salad_home_dss_desktop_es.d1ac6c1a-1000x884.png 1000w, https:\/\/www.tapasmagazine.es\/wp-content\/uploads\/2025\/02\/falafel_salad_home_dss_desktop_es.d1ac6c1a-400x354.png 400w, https:\/\/www.tapasmagazine.es\/wp-content\/uploads\/2025\/02\/falafel_salad_home_dss_desktop_es.d1ac6c1a.png 1124w\" sizes=\"(max-width: 1024px) 100vw, 1024px\" \/><\/figure>\n<\/div>\n\n\n<p>According to the statement from both companies, the board of <strong>Just Eat Takeaway.com <\/strong>considers Prosus&#8217; offer to be beneficial to the sustainable future of the company and therefore \u201cunanimously\u201d supports the transaction and recommends its shareholders to accept the proposal. In addition, some key members of the company&#8217;s board, who hold 8.1% of the shares, have confirmed their commitment to tender their shares in the offer.<\/p>\n\n\n\n<p><strong>Prosus<\/strong>, for its part, has indicated that it will support Just Eat Takeaway.com&#8217;s growth strategy and that it has no plans to spin off any part of the company. Just Eat&#8217;s headquarters will remain in Amsterdam and its most relevant brands will be maintained. They have also ensured that additional capital will be provided to continue to drive growth in sectors such as food, online grocery, financial technology and other related businesses.
